SEC Filings

What is Schedule 13D?

A filing required when an investor acquires more than 5% of a company with intent to influence it.

A 13D is the calling card of activist investors. It must describe the investor's plans — board seats, a sale of the company, a change in strategy — and is often followed by a sharp move in the stock.
